Vietnam Crypto Penalty Decree Takes Effect Ahead of Exchange Licensing
Vietnam’s administrative penalty decree, Decree No. 284/2026/NĐ-CP, officially took effect on September 1, 2026. The framework establishes strict penalties targeting unauthorized crypto asset services, illegal marketing, and anti-money laundering (AML) compliance failures.
Although the decree sets fines for individuals trading on unlicensed platforms at VND 15 million to VND 25 million (with organizational penalties ranging from VND 30 million to VND 50 million), enforcement against retail investors is currently in a “grace period” because no exchange has been granted an official operating license yet.

1. Six-Month Grace Period for Retail Investor Penalties
Under the supporting provisions of Resolution No. 05/2025/NQ-CP, the mandate requiring domestic retail investors to trade exclusively through licensed platforms will not be enforced immediately from September 1.

Enforcement Trigger: The six-month transition countdown for retail traders will only begin once the Ministry of Finance issues its very first official exchange license.

Current Status: Until the first domestic license is granted, Vietnamese retail investors using offshore or unapproved platforms will not automatically incur personal trading fines.
2. High Licensing Barriers for Initial Applicants
Although five applicant entities have cleared preliminary assessments, Vietnamese authorities have yet to issue a single pilot exchange license. Candidates must meet exceptionally high thresholds before receiving final approval:

Substantial Capital Requirement: A minimum paid-in charter capital of VND 10 trillion (approx. USD 383 million), with at least 65% held by institutional shareholders.

Level 4 Security Standards: Systems must pass rigorous evaluations by the Ministry of Public Security and related authorities to achieve Level 4 information-system security certification.

Foreign Ownership Cap: Foreign equity participation in licensed exchange operators is strictly capped at 49%.
3. Immediate Enforcement for Unlicensed Institutions
Unlike the delayed enforcement of retail trading penalties, sanctions targeting unauthorized institutional operations and unlicensed service providers took full effect on September 1:

Vietnam’s five-year digital asset pilot framework reflects a highly cautious regulatory approach:

Real-World Asset (RWA) Backing: Tokens issued during the pilot phase must be backed by real-world assets. Securities and fiat currencies are explicitly excluded.

Foreign Investor Priority: Locally issued crypto assets under the pilot are initially limited to offerings targeted at foreign investors, with all transactions closely monitored by regulatory systems.
