Vietnam Opens Crypto Floodgates With $14T Tokenization Gamble

Vietnam is establishing a national regulatory framework for crypto assets, aiming to attract foreign investment through real-world asset (RWA) tokenization while enforcing order in its domestic digital asset market.

Regulatory Framework and Foreign Investor Access

Under the government’s pilot scheme, the legal foundation for Vietnam’s national crypto asset pilot has been firmly established. The framework mandates that digital assets issued in Vietnam must be backed by real-world assets (RWAs)—excluding securities and fiat currencies—and restricts token offerings exclusively to foreign investors during the initial phase.

This move enables Vietnamese businesses to tokenize tangible assets and tap into global capital pools. Tran Quy, Director of the Vietnam Institute for Digital Economy Development, stated that the mechanism bridges digital technology with the real economy by standardizing asset valuation and disclosure requirements, while curbing speculative tokens lacking intrinsic value.

Boston Consulting Group (BCG) estimates that the global market for tokenized real-world assets could top $14 trillion by 2030. Nguyen Thi Ngoc Quynh, Vietnam Market Director at Republic, noted that Vietnam’s cautious approach mirrors tightening regulations in major international markets, adding that long-term adoption will depend on further regulatory clarity and research into foreign investor preferences.

Licensing Requirements for Exchanges

Speaking at the Vietnam RWA Summit, a representative from the Digital Asset Trading Market Board under the State Securities Commission (SSC) confirmed that five companies have passed initial assessments to establish licensed crypto exchanges.

To secure final operational authorization, applicants must satisfy strict criteria:

2. Minimum Chartered Capital: Must hold at least 10 trillion VND | | (approx. $383 million USD)

Penalties and Enforcement Timeline

Alongside market rollout, the government issued a decree imposing administrative fines ranging from approximately $1,150 to $1,918 on domestic investors trading on unlicensed or overseas platforms.

Clarifying enforcement details, Tran Quy noted that local investors will not face immediate penalties. The requirement to trade exclusively through licensed entities becomes mandatory six months after the Ministry of Finance issues its first exchange license.
