The VIXEX Capital Expansion Puzzle and Vietnam’s Crypto Compliance Surge

The Vietnamese government’s issuance of Resolution No. 05/2025/NQ-CP (on the pilot operation of the crypto asset market) fundamentally transformed the domestic market by eliminating the long-standing absence of licensed local trading platforms.

Among the domestic players vying for the initial batch of pilot licenses, VIXEX Exchange—jointly launched by VIX Securities (Chứng khoán VIX), FTG Vietnam, and 3C Corporation—has drawn significant industry attention. However, the market’s primary concern remains: Why does VIXEX, which was established with an initial registered capital of just VND 100 billion, face such an immense capital expansion requirement? I. The Regulatory Threshold: The VND 10 Trillion Compliance Baseline

VIXEX’s delay is not due to a reluctance to inject capital, but rather the necessity of overcoming a stringent regulatory threshold.

Under the pilot regulatory framework, any joint-stock enterprise seeking a licensed crypto asset exchange operator permit must meet the following mandatory criteria:

  • Paid-In Capital Threshold: Minimum paid-in charter capital of VND 10 trillion (approximately over USD 400 million).

  • Entity & Security Qualifications: Dedicated technical engineering teams compliant with the Law on Cyberinformation Security, segregated custody architectures, and rigorous Anti-Money Laundering (AML) audit frameworks.

Established in August 2025, VIXEX began with a charter capital of just VND 100 billion (with FTG Vietnam holding 64.5%, 3C Corporation holding 20.5%, and VIX Securities holding 15%). Scaling from VND 100 billion to VND 10 trillion represents a 100-fold capital increase. This far exceeds typical startup financing dynamics and demands an unprecedented level of secondary market liquidity mobilization by its main institutional backers.

II. The Ripple Effect: Massive Capital Injections by Parent Firm VIX Securities

As VIXEX’s primary financial anchor and key sponsor, the capital arrival timeline at VIX Securities directly determines the success or failure of VIXEX’s capital expansion.

To fund VIXEX alongside other licensed financial innovation initiatives, VIX Securities launched a multi-year corporate capital expansion drive in late 2025:

  • Rights Offering in Secondary Markets: In the first half of 2026, VIX Securities completed a rights issue to existing shareholders of nearly 918 million shares (Ticker symbol: MIRVIX261), raising over VND 11 trillion.

  • Charter Capital Expansion: At its Annual General Meeting of Shareholders (ĐHĐCĐ) in June 2026, VIX Securities officially approved an expansion of its charter capital to VND 25.7 trillion. Executive leadership highlighted at the meeting: “Without significant capital scale, serving institutional clients and entering high-threshold sectors is impossible.”

Because this rights offering required strict statutory procedures—progressing from General Meeting approval to State Securities Commission (UBCK) filing, shareholder payment verification, and audit reconciliation through Q2 2026—the underlying capital stream for VIXEX only formally completed its compliance loop in mid-to-late 2026.

III. Current State of Vietnam’s Crypto Sector: Institutional Entry Meets Strict Supervision

The capital mobilization effort behind VIXEX reflects broader systemic shifts across Vietnam’s crypto ecosystem:

  • Transition from Grey Market to Sandbox Oversight: Historical P2P practices and unauthorized offshore exchange operations are facing comprehensive regulatory enforcement. Resolution 05/2025/NQ-CP strictly restricts crypto asset transactions to VND-denominated settlements within licensed service providers, governed by standard securities tax treatments.

  • Entry of Traditional Financial Institutions: With the implementation of the Law on Digital Technology Industry and the regulatory sandbox, traditional brokerages with established Central Counterparty (CCP) clearing capabilities and regulatory experience—such as VIX Securities—are leading the market infrastructure buildout.

  • High Asset Compliance Standards: Pilot regulations mandate that listed crypto assets must be backed by Real-World Assets (RWA). Purely speculative tokens and uncollateralized leveraged derivatives are strictly excluded from legal recognition.

IV. Outlook: The Race for the First Pilot Licenses

With the successful capital replenishment and share settlement at parent company VIX Securities, Vietnam crypto exchange VIXEX is accelerating its paid-in capital verification and aligning its technical security architecture with regulatory standards.
